Bylaws – Friends of the Library

Article I – Name

The name of this organization shall be Friends of the Daviess County Public Library.

Article II – Purpose

The purpose of this organization shall be to promote awareness of the library’s resources, provide funding for special library projects, and support the freedom to read.

Article III – Membership

Section 1. Membership in the Friends of the Daviess County Public Library shall be open to all individuals and groups who are in sympathy with its purposes.

Section 2. There shall be two classes of membership: individual and family. Each individual membership shall be entitled to one vote. Each family membership shall be entitled to two votes.

Section 3. Dues shall be payable annually and shall become due on the day of the annual
membership meeting.

Article IV – Board of Directors

Section 1. All members of the board of directors must be members of Friends of the Daviess County Public Library.

Section 2. The board shall consist of the officers and other directors of the organization.

Section 3. The library director shall serve as an ex officio and non-voting member of the board. Library employees may serve as ex officio and non-voting members of the board.

Section 4. The board shall be the policymaking and program developing body of the organization.

Section 5. Meetings of the board shall be held monthly, unless otherwise decided by the board. The President may call special meetings.

Section 6. Members present shall constitute a quorum.

Section 7. Board members shall attend all board meetings and shall notify the president of any expected absence. If absences become excessive, the board may, at its discretion, replace the delinquent member

Article V – Officers

Section 1. The officers of the board of directors shall be the president, vice-president, treasurer, and secretary.

Section 2. Officers shall be nominated, with consent of the nominee, by a committee appointed by the president, and the slate shall be presented to the membership prior to the annual meeting. Additional nominations may be made from the floor.

Section 3. Officers shall be elected by a simple majority vote of those present at the annual directors’ meeting and shall assume office for a term of one year.

Section 4. Vacancies occurring during the course of the year may be filled by the board by a simple majority vote of board members present

Article VI – Duties of Officers

Section 1. President: To preside over and conduct meetings and to appoint all committees and be an ex officio member thereof, except as limited herein.

Section 2. Vice-President: To perform the duties of the president in the absence of the president.

Section 3. Treasurer: To be responsible for presenting the financial records of the organization on a regular basis and to submit all required and/or appropriate financial reports to the organization. In the absence of the treasurer, the president and vice president shall be authorized to sign checks.

Section 4. Secretary: To record attendance at all meetings, and to take the minutes of all meetings.

Article VII – Meetings

Section 1. An Annual meeting of the Friends of the Daviess County Library shall be held on a date in the month of October to be determined by the board. Members shall be notified prior to the date of the meeting.

Section 2. A special meeting of this organization may be called at any time by the board. Business discussed shall be restricted to the stated purpose of the called meeting.

Article VIII – Fiscal Year

The fiscal year of the organization shall commence at the annual meeting each year and end at the
annual meeting of the following year.

Article IX – Amendments

Amendments of these bylaws may be made at any meeting by the two-thirds (2/3) vote of those present.

Article X – Parliamentary Procedure

Robert’s Rules of Order, latest revision, shall govern when not in conflict with these bylaws.
